Terms of Service

MedGram is exclusively for licensed or credentialed healthcare professionals, medical students, residents, researchers, health educators, and verified healthcare organizations. By registering, you confirm that you meet these criteria, that you are at least 18 years old, and that the credentials you provide are accurate and current.

You are responsible for your account and credentials, for keeping your password confidential, and for all activity under your account. Tell us promptly at contact@medgram.org if you believe someone else has access to it.

Access to MedGram is not granted automatically. New accounts must complete our onboarding process and are placed under review; you will not have access to the platform's features until an administrator approves your credentials. MedGram may reject an application or revoke previously granted access at any time, including during the review process, at its sole discretion.

• You agree to maintain the highest standards of professional conduct on the platform.
• All medical case discussions must be fully anonymized and de-identified.
• You may not share identifiable patient information under any circumstances.
• Content must be factual, evidence-based, and professionally appropriate.
• Misinformation, harassment, and discriminatory content are strictly prohibited.

MedGram reserves the right to verify professional credentials at any time. Providing false or misleading credential information will result in immediate account termination. Your verified status may be revoked if your credentials expire or are found to be inaccurate.

You retain ownership of the content you post on MedGram. We do not claim ownership of your clinical content, of your patient information, or of anything else you create on the platform.

To operate the platform, you grant MedGram a non-exclusive, worldwide, royalty-free licence to host, store, copy, transmit, display and distribute your content, and to process it through the service providers described in our Privacy Policy for the purposes described there. This licence ends when your content is deleted, apart from copies retained in backups and records as described in that policy. You are solely responsible for your content, including holding the rights needed to post it.

MedGram, the platform, its software, its design, and its name and logos are owned by us or our licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-transferable right to use the platform under these Terms. You may not copy, modify, distribute, sell or reverse-engineer our software, or use our name or logos, without our written permission. We promise no copyright in output generated by our tools beyond what applicable law provides.

• Sharing identifiable patient data or violating patient privacy.
• Advertising or soliciting in a manner that violates platform guidelines.
• Creating fake profiles or misrepresenting professional credentials.
• Spamming, phishing, or distributing malware.
• Scraping or unauthorized data collection.

MedGram is a professional networking platform and does not provide medical advice, diagnosis, or treatment. Content shared by members represents individual professional opinions and should not be construed as clinical guidance. Always exercise independent clinical judgment in patient care.

MedGram provides a Notes Assistant and related clinical documentation tools (including note builders, ECG and lab analysis workspaces, calculators, and referral or procedure templates), through the web and mobile applications, the browser extension, and connected AI clients that reach MedGram's tool server under your own authorization. These tools are aids for professional and educational use only. Outputs are drafts, calculations or reference results for use by a qualified professional, and every output must be independently reviewed and verified against the source record and your clinical judgment before any clinical use. Where information was not supplied, outputs are designed to mark it as not provided rather than fill it in, and a missing item is not a negative finding, a normal result or an absence of disease. These are design intentions and safeguards, not guarantees: no automated system can ensure that a generated output contains no invented, inaccurate or incomplete content, and MedGram does not warrant that any output is free of error or omission. You remain responsible for detecting and correcting any such content. MedGram does not claim that any tool is clinically validated, and no output is a diagnosis or a substitute for professional judgment.

You must not enter identifiable patient information into these tools. Automated identifier screening applied to designated tools is a safeguard, not a guarantee: de-identification remains your responsibility. MedGram does not certify HIPAA compliance for any feature, and nothing in these Terms or elsewhere is a certification or warranty of de-identification or of regulatory compliance. Clinical requests made through MedGram's tools are processed by MedGram's managed AI and infrastructure providers. Any business associate agreement or provider agreement held by you or your organization with a third-party AI provider applies only to your relationship with that provider and does not extend to MedGram's managed processing or to the platform as a whole.

Virtual Hospital cases, Grand Rounds, and medical case discussions are fictional or fully de-identified educational content and do not represent real patients or clinical encounters. Research publications and abstracts you share on MedGram must be your own work or shared with appropriate rights and permissions; MedGram is not responsible for verifying the accuracy or originality of user-submitted research content.

Information displayed on your professional profile (credentials, affiliations, endorsements, and contributions) is self-reported and, where applicable, reviewed as part of our verification process. MedGram does not guarantee the continued accuracy of credential information after initial verification and is not responsible for reliance by other users on profile content.

You agree not to enter or upload identifiable patient information into any MedGram feature. Patient-identifying information includes patient names, medical record numbers, dates of birth, phone numbers, email addresses, physical addresses, government or insurance identification numbers, identifiable patient photographs, or other information that could identify an individual.

MedGram screens designated clinical tools for common identifiers and may block submissions that appear to contain patient-identifying information. You remain solely responsible for ensuring all clinical content is appropriately de-identified. See our Patient Privacy & De-Identification policy for details.

MedGram reserves the right to suspend or terminate accounts that violate these Terms, at our sole discretion, with or without notice. You may delete your account at any time through your profile settings.

MedGram is provided "as is" and "as available", and to the fullest extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

To the fullest extent permitted by law, our total liability to you is the greater of the fees you paid us in the twelve months before the claim or one hundred US dollars (USD 100), and we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill. Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud, wilful misconduct or gross negligence, or liability under a statute that does not allow it to be excluded, and nothing here removes a right you have as a consumer that cannot be waived.

This section does not reduce our responsibility to protect the personal information we hold, as described in our Privacy Policy.

Governing law. These Terms, and any dispute arising out of or relating to them or to your use of MedGram, are governed by the laws of the State of Florida, United States, without regard to its conflict of law principles, except where applicable law requires otherwise.

Informal resolution first. Before starting a formal legal proceeding, each party agrees to first try to resolve the dispute informally. Please send a written description of the issue to contact@medgram.org with the subject line "Legal Notice", identifying you and your account, describing the dispute and the outcome you want. Both parties will then work in good faith to resolve it for at least thirty (30) days; that period may be extended by written agreement, and any applicable limitation period is paused while the informal process runs. Either party may seek urgent injunctive or other equitable relief at any time where delay could cause irreparable harm, and either party may bring a claim in small-claims court, or a claim about intellectual-property infringement or unauthorised access to the platform, without first completing this step.

Courts and venue. If a dispute is not resolved informally, it may be brought in the state or federal courts of competent jurisdiction located in Orange County, Florida, and, to the extent permitted by law, you and MedGram consent to the jurisdiction and venue of those courts. Nothing in these Terms limits any right you may have under mandatory law to bring a claim in another forum.

No mandatory arbitration. These Terms do not require arbitration, and no arbitration organization, registration or fee is a condition of resolving a dispute under them. These Terms also contain no class action waiver or jury trial waiver.

Institutional agreements. If a hospital, medical school or other healthcare institution enters into a separate written agreement with MedGram, that agreement controls over this Section 9 for that institution to the extent the two differ. These Terms do not impose any dispute-resolution, arbitration or venue term on such an institution beyond what that separate agreement states.

If you believe content on MedGram infringes your copyright, write to contact@medgram.org with the location of the material, a description of the work you believe is infringed, your name and contact details, and a statement that you have a good-faith belief the use is not authorised by the copyright owner, its agent or the law.

We remove or disable access to material that appears to infringe, and we terminate the accounts of users who repeatedly infringe. MedGram has not registered a designated agent for service of copyright notices and does not claim the statutory safe harbour for user-uploaded content; this section describes our complaint handling, not a legal safe harbour.

MedGram's physician-facing features are currently free to use. If we introduce paid features, we will publish the price, billing period, renewal, cancellation and refund terms and ask for your consent before anything is charged.

We may update these Terms. We will notify you of material changes by in-app notification or email before they take effect, and continued use after the effective date is acceptance of the updated Terms. If you do not agree, you may stop using MedGram and delete your account.

These Terms, together with the Privacy Policy and the policies they reference, are the entire agreement between you and MedGram about the platform and replace any earlier understanding. If a provision is found unenforceable, the rest stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition or transfer of assets. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability and dispute resolution, survive. We may send notices by email to your account address or by in-app message, and you consent to receive them electronically.
